Terms of Service

Last updated: 28 October 2026 · Applies to certly.ae and app.certly.ae
Early access notice. Certly is currently offered by invitation, with a free 7-day trial for each new organization. Features, pricing and these Terms may change before general availability.

1.Who we are

Certly is a product of Fairlyst Software Systems LLC, a company registered in Abu Dhabi, United Arab Emirates ("Fairlyst", "we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of the Certly website (certly.ae), the Certly application (app.certly.ae), and any related services (together, the "Service").

By creating an account, signing in, or otherwise using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent. If you do not agree, do not use the Service.

2.What Certly does

Certly helps UAE businesses track, estimate and plan their In-Country Value (ICV) position based on supplier and spend data you provide, and on publicly available supplier certification information.

Supplier certification information in the Service comes from the Ministry of Industry and Advanced Technology (MoIAT) National ICV open data, used under MoIAT's open data licence. Certly is not affiliated with or endorsed by MoIAT.

Certly is not an ICV certifying body and does not issue ICV certificates. Scores, estimates and projections shown in the Service are calculated using a methodology based on the UAE Ministry of Industry and Advanced Technology's (MoIAT) published ICV guidance, as understood and implemented by Fairlyst at the time. They are estimates for internal planning purposes only. Your official ICV score and certificate can only be issued by MoIAT or an accredited ICV certifying body, based on your audited financial statements. You remain solely responsible for verifying any figures with your certifier and for your own ICV compliance.

4.Free trial, plans and early access

Each new organization may receive a free 7-day trial, by invitation. During the trial and the early access period, access is provided strictly "as is" and "as available". We do not guarantee uptime, data retention, or that any feature will remain available or unchanged. We may suspend, limit or end early access at any time, with or without notice, including to any individual account.

A trial does not turn into a paid plan automatically. You will not be charged unless your organization signs a separate subscription agreement or order with us.

How the trial works. A free trial lasts 7 days from when the organization is created and includes Professional features. Two days before it ends, and on the day it ends, we email the organization's owners. When it ends without a paid plan, access is limited to downloading your supplier list. Your data is deleted 30 days after the trial ends, after a warning email at least 7 days before. Each company can have one free trial. To continue, contact certly@fairlyst.com.

Plans. Essential includes the score estimate, suppliers (import and directory matching), score inputs, reports, and supplier certificates with expiry alerts. Professional adds the Planner and certified alternatives. Enterprise includes everything, on terms agreed in writing. Prices are shown on our Pricing page. Founding customers keep their founding price for the period we agree in writing.

5.Free Supplier ICV check

The free Supplier ICV check at certly.ae/supplier-check lets you check up to 20 supplier names against the MoIAT National ICV directory and receive the results by email. It is subject to these Terms, including the following:

6.Your data

See our Privacy Policy for how we collect, use and protect personal data.

7.Acceptable use

You agree not to: misuse or attempt to probe, scan or disrupt the Service or its infrastructure; scrape or bulk-extract the MoIAT supplier directory data presented in the Service for resale or redistribution; use the Service to build a competing product; upload unlawful content; or misrepresent Certly-generated figures as an official MoIAT certificate or score.

8.Disclaimers

The Service, including all scores, estimates, supplier information and scenario projections, is provided for informational and planning purposes only and does not constitute legal, financial, tax, or certification advice. We do not guarantee the accuracy, completeness or currency of third-party supplier data, including the MoIAT supplier directory, which may change without notice. To the fullest extent permitted by law, the Service is provided without warranties of any kind, express or implied.

9.Limitation of liability

To the fullest extent permitted under UAE law, Fairlyst's total liability arising from or relating to the Service shall not exceed the amount you paid us in the twelve (12) months before the claim arose (or, during early access, shall not exceed AED 1,000). Fairlyst shall not be liable for indirect, incidental, special or consequential damages, including loss of profits, business opportunities, or a lower-than-expected ICV score or audit outcome, even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under UAE law.

10.Intellectual property

Fairlyst owns all rights, title and interest in the Service, including its software, design, scoring methodology and the Certly name and logo. These Terms do not grant you any rights to our intellectual property beyond the limited right to use the Service as intended. You retain all rights to your Customer Data.

11.Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, or, during early access, for any reason with reasonable notice where practicable. On termination, we will make reasonable efforts to allow you to export your Customer Data for a limited period, except where legally prevented from doing so.

12.Changes to these Terms

We may update these Terms from time to time, particularly as the Service moves from early access to general availability. We will post the updated Terms on this page with a new "Last updated" date, and will make reasonable efforts to notify active users of material changes. Continued use of the Service after a change takes effect constitutes acceptance.

13.Governing law

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Abu Dhabi. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of Abu Dhabi.

14.Contact

Questions about these Terms can be sent to certly@fairlyst.com.

15.Separate advisory engagements

From time to time, Ricardo Nesmith may provide one-on-one ICV advisory services (such as readiness assessments or improvement planning) outside of the Service, under the trade name Certly for Management Consulting, a sole establishment licensed separately for administrative consultancy and economic feasibility studies. Any such advisory engagement is a separate relationship, governed by its own written agreement, and is not covered by these Terms, which apply only to the Certly software (certly.ae and app.certly.ae).
